Common Interview Questions
I never see legal and commercial as opposed — my role is to help the business achieve its objectives within an acceptable risk framework. I present legal risks clearly and quantify them where possible, then give a recommendation. I don't say "no" — I say "here's the risk of doing this as proposed, and here's how we could achieve the same goal with less risk." Business leaders make better decisions when they understand the risk landscape, not when they're simply told something isn't allowed.
For review: I read the full contract against our standard position, marking commercial risk, unusual terms, liability exposure, and missing protections. I produce a redlined version with a summary of key issues and recommended positions. I distinguish between deal-breakers and negotiable terms. For drafting: I start from our preferred template if available, tailor it precisely to the transaction, and build in appropriate protections for representations, warranties, indemnities, and limitation of liability. I keep language clear and precise — ambiguity benefits neither party.
I triage: distinguishing between matters requiring deep legal analysis and matters that can be handled efficiently with existing playbooks, standard templates, or internal training. I build self-service resources — legal FAQs, contract playbooks, approved template suites — that allow the business to handle routine matters without always engaging legal. I use matter management systems to track workload and priorities. I also communicate clearly about capacity so business partners can plan, and I escalate to external counsel when volume or complexity demands it.
I've advised on [relevant areas: consumer law, data privacy, financial services regulation, workplace relations, competition law, environmental law — tailor to experience]. I monitor regulatory developments affecting the business and translate them into practical compliance requirements. I build compliance frameworks — policies, training, monitoring — not just one-off advice. I engage with regulators proactively where appropriate and manage investigations when they arise. A good regulatory function is a business enabler, not just a risk barrier.
Without breaching privilege: I managed a [contract dispute / employment claim / regulatory investigation] involving [general description]. My role was [specific contribution — strategy, managing external counsel, negotiating settlement]. Key decisions included [approach to settlement, use of expert evidence, litigation strategy]. The matter resolved [outcome]. What I learned: [tactical or strategic insight]. I'm comfortable managing external counsel as a client — ensuring their work is focused, cost-effective, and aligned to the business's risk appetite and commercial goals.
I provide board advice in writing and verbal form that is clear, jargon-free, and decision-oriented. I translate legal complexity into business risk in terms directors can evaluate. I ensure board papers covering legal matters include clear recommendations and risk consequences of different courses of action. I maintain a legal risk register that is reviewed at board level regularly. I also stay current with directors' duties obligations and ensure board governance processes are compliant — particularly around conflicts of interest, related party transactions, and continuous disclosure.
I maintain memberships with [Law Society, ACLA, relevant industry associations] and review legislative updates, court decisions, and regulatory guidance in my practice areas. I attend relevant seminars and CPD programs. I build relationships with specialist external law firms whose knowledge I can leverage efficiently. I translate legal updates into business relevance quickly — the board and business leaders don't need a legal briefing; they need to understand what's changing and what it means for how they operate.
I provide clear briefs — clear instructions, defined scope, and explicit expectations on cost, timeline, and reporting format. I don't use external counsel as a substitute for in-house judgment: I use them for specialist expertise, capacity overflow, and independent legal opinion where required. I review invoices carefully and challenge bills that don't match the brief. I build relationships with two or three trusted law firms in key practice areas so I'm getting good service and value. I also manage external counsel's tendency to scope conservatively — I push for practical advice, not comprehensive risk enumeration.
